1. Acceptance of Terms

By accessing or using Genana ("Service"), operated by Genana ("we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to all of these Terms, you may not access or use the Service.

You must be at least 13 years of age to use this Service. By using the Service, you represent and warrant that you are at least 13 years old. If you are under 18, you represent that your parent or legal guardian has reviewed and agreed to these Terms on your behalf.

2. Description of Service

Genana is an AI-powered image generation and social sharing platform that allows users to create, discover, and share AI-generated artwork. The Service may include, without limitation:

  • AI image generation from text prompts
  • Photo transformation using AI models
  • Multi-model comparison features
  • Social sharing and community features
  • Subscription or premium services (when available)

We reserve the right to modify, suspend, or discontinue any part of the Service at any time, with or without notice, and without liability to you.

3. User Accounts

To access certain features of the Service, you must create an account. When creating an account, you agree to:

  • Provide accurate, current, and complete information
  • Maintain the security and confidentiality of your login credentials
  • Accept responsibility for all activities that occur under your account
  • Maintain only one account per person
  • Notify us immediately of any unauthorized use of your account

We reserve the right to suspend or terminate accounts that we reasonably believe violate these Terms or that have been inactive for an extended period.

4. User Content and License

You retain ownership of any content you create, upload, or submit through the Service ("User Content"). By posting User Content on or through the Service, you grant us a worldwide, non-exclusive, royalty-free, transferable, sublicensable license to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, publicly perform, and publicly display your User Content in connection with operating and providing the Service, including for promotional purposes.

You represent and warrant that you have all rights necessary to grant this license and that your User Content does not infringe any third party's rights.

We may, but are not obligated to, review, monitor, or remove User Content at our sole discretion, for any reason or no reason, including content that we believe violates these Terms or may be harmful to other users.

5. Acceptable Use

You agree not to use the Service to:

  • Generate, upload, or share content that is illegal, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, or otherwise objectionable
  • Create or distribute child sexual abuse material (CSAM) or content that sexually exploits minors in any way
  • Generate realistic depictions of identifiable real persons without their consent (deepfakes)
  • Harass, bully, intimidate, or threaten any person
  • Infringe upon the intellectual property rights of any third party
  • Distribute spam, malware, or engage in phishing
  • Attempt to gain unauthorized access to the Service, other user accounts, or computer systems or networks connected to the Service
  • Use any automated means, including bots, scrapers, or crawlers, to access or collect data from the Service without our express written permission
  • Interfere with or disrupt the Service or servers or networks connected to the Service
  • Violate any applicable local, state, national, or international law or regulation

We reserve the right to investigate and take appropriate action, including reporting to law enforcement, against anyone who violates this provision.

6. AI-Generated Content

The Service uses third-party artificial intelligence models to generate images and other content. You acknowledge and agree that:

  • AI-generated content may not always be accurate, appropriate, or of a specific quality, and we make no guarantees regarding the output of any AI model
  • We are not responsible or liable for any AI-generated content, including content that may be offensive, inaccurate, or otherwise objectionable
  • You are solely responsible for reviewing and verifying any AI-generated content before using, sharing, or distributing it
  • AI-generated content may not be protectable under copyright law, and we make no representations regarding the intellectual property status of AI outputs
  • The availability, capabilities, and quality of AI models may change at any time without notice

Commercial Usage Rights: Subscribers on Creator or Pro plans are granted a commercial license to use AI-generated images created through the Service for commercial purposes, including marketing, advertising, and merchandise. Users on Free or Starter plans may use AI-generated images for personal, non-commercial purposes only. Commercial usage rights are subject to the terms and limitations of the underlying AI model providers.

7. Intellectual Property

The Service, including its original content (excluding User Content), features, and functionality, is and shall remain the exclusive property of Genana and its licensors. The Service is protected by copyright, trademark, and other intellectual property laws. Our trademarks and trade dress may not be used in connection with any product or service without our prior written consent.

DMCA Takedown Notices: If you believe that content on the Service infringes your copyright, you may submit a notice under the Digital Millennium Copyright Act (DMCA) to our designated agent at [email protected]. Your notice must include: (a) identification of the copyrighted work, (b) identification of the infringing material and its location on the Service, (c) your contact information, (d) a statement of good faith belief that the use is not authorized, and (e) a statement under penalty of perjury that the information is accurate and you are the copyright owner or authorized to act on their behalf.

8. Third-Party Services

The Service may integrate with or rely upon third-party services, including AI model providers, payment processors, cloud hosting providers, and authentication services. We are not responsible for the availability, accuracy, or reliability of any third-party services, and your use of such services may be subject to their own terms and conditions.

9. Disclaimer of Warranties

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR COURSE OF PERFORMANCE. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE. WE DO NOT WARRANT THE ACCURACY OR RELIABILITY OF ANY CONTENT OBTAINED THROUGH THE SERVICE, INCLUDING AI-GENERATED CONTENT. NO ADVICE OR INFORMATION, WHETHER ORAL OR WRITTEN, OBTAINED FROM US OR THROUGH THE SERVICE SHALL CREATE ANY WARRANTY NOT EXPRESSLY STATED IN THESE TERMS.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL GENANA, ITS DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, PARTNERS, OR SUPPLIERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO:

  • Your access to or use of, or inability to access or use, the Service
  • Any conduct or content of any third party on the Service
  • Any User Content or AI-generated content obtained from the Service
  • Unauthorized access, use, or alteration of your transmissions or content

OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU HAVE PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100.00).

WE ARE NOT LIABLE FOR ANY USER-GENERATED CONTENT POSTED ON THE SERVICE. WE ARE NOT LIABLE FOR THE OUTPUTS OF ANY AI MODEL USED THROUGH THE SERVICE.

11. Indemnification

You agree to defend, indemnify, and hold harmless Genana and its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses (including but not limited to attorney's fees) arising from: (a) your use of and access to the Service; (b) your violation of any provision of these Terms; (c) your violation of any third-party right, including any intellectual property, privacy, or proprietary right; or (d) any User Content you create, upload, or share through the Service.

12. Termination

We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach these Terms. Upon termination, your right to use the Service will immediately cease. We may, in our sole discretion, delete any User Content associated with your account upon termination.

All provisions of these Terms which by their nature should survive termination shall survive, including without limitation ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

13. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of California, United States, without regard to its conflict of law provisions.

Any dispute arising out of or relating to these Terms or the Service shall be resolved through binding arbitration administered in accordance with the rules of the American Arbitration Association. The arbitration shall take place in the State of California. You agree that any dispute resolution proceedings will be conducted on an individual basis and not in a class, consolidated, or representative action. You waive any right to a jury trial.

14. Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect. The invalid or unenforceable provision shall be modified to the minimum extent necessary to make it valid and enforceable.

15. Changes to Terms

We reserve the right to modify or replace these Terms at any time at our sole discretion. If we make material changes, we will provide notice through the Service or by other means. Your continued use of the Service after any changes to these Terms constitutes your acceptance of the revised Terms.

16. Privacy

Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, and protect your personal information. By using the Service, you consent to the collection and use of your information as described in the Privacy Policy.
